Corporate Paralegal

As a Corporate Services Paralegal, you will play a key role in supporting lawyers across the Corporate Group, Business Law & Transactions Group, and Indigenous Law Group. You'll be trusted with meaningful, complex work and encouraged to contribute ideas that improve systems, workflows, and client experience.

While the firm supports a hybrid work environment, this role requires regular in-office presence to support collaboration and team-based work.

Key Responsibilities:

You will be responsible for preparing, managing, and maintaining corporate legal documentation for a wide range of entities, including BC, federal, and not-for-profit organizations. Your work will include:

  • Reorganizations, including tax-driven transactions and capital alterations
  • Incorporations, organizations, amalgamations, and continuations
  • Extra-provincial and DBA registrations
  • Dissolutions, wind-ups, and restorations
  • Declarations of dividends and bonuses
  • Share transactions, including issuances, transfers, redemptions, repurchases, and transmissions
  • Corporate due diligence reviews and preparation of rectification documentation
  • Director and officer changes, name changes, and registered/records office updates
  • Responding to ad hoc client and lawyer requests
  • Establishing, maintaining, and updating files, databases, records, and corporate minute books

Preferred experience:

  • Real estate matters, including commercial financings, conveyances, LTSA registrations, and real estate development work

Qualifications:

Ideally, you bring:

  • A Paralegal Diploma or Certificate (preferred but not required)
  • A minimum of 5 years' experience as a Corporate Services Paralegal or an equivalent combination of education, training, and experience
  • Strong knowledge of:
    • BC Business Corporations Act
    • BC Societies Act
    • BC Partnership Act
    • Canada Business Corporations Act
    • Canada Not-for-profit Corporations Act
  • Experience drafting, processing, and filing corporate legal documents
  • High proficiency with technology, including:
    • Microsoft Word and Excel
    • ALF, DocuSign, NetDocuments, PCLaw
    • BC Registry online applications
    • Corporations Canada online filings

Compensation & Benefits:

  • Estimated salary range: CAD $80,000 $110,000, based on experience
  • Individual compensation is determined by market conditions, job-related skills, experience, and education
